1. Introduction

Welcome to M&Q Engineering Solutions ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the M&Q Engineering Suite, our website, and any related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, you may not use the Services. Our Services are available to users of all ages, but if you are under 18, you must use the Services only with the permission of a parent or guardian.

2. Definitions

• "Services" – The M&Q Engineering Suite, website, and any related tools.
• "Software" – All modules, calculators, engineering tools, and code.
• "Subscription" – A paid tier granting access to specific features.
• "User" / "You" – Any person using the Services.

3. The M&Q Engineering Suite

We provide a unified platform of more than 90 engineering and manufacturing tools.

3.1 Access Tiers

• Free Tier – Core lean and manufacturing calculators.
• Mid Tier – Advanced quality, metrology, DFQ, and systems engineering tools.
• Premium Tier – Complete access to all modules.

We may add, modify, or remove tools from any tier without prior notice.

4. Subscriptions and Payments

4.1 Billing — Paid subscriptions are billed monthly through Stripe.

4.2 Automatic Renewal — Subscriptions renew automatically each month unless cancelled.

4.3 Cancellation — You may cancel anytime. Access continues until the end of the current billing period.

4.4 Refund Policy — We do not provide pro-rated or partial refunds for unused subscription periods except where required by law.

4.5 Pricing Changes — We may change pricing with at least 14 days' notice.

5. Data Privacy and Local-Only Processing

5.1 Engineering Data — The Suite is designed so that all engineering calculations run locally inside your web browser. We do not upload or store your engineering inputs, designs, formulas, measurements, or proprietary data. We act only as a processor for your account and billing details, not your engineering work.

5.2 Data We Do Handle — We only collect minimal account and operational data: email address, subscription status, and basic analytics (non-identifying, operational).

5.3 Third-Party Providers — We use Stripe (billing), Cloudflare (security/CDN), Resend (transactional email), and GitHub (hosting). Each processes limited technical or account-related data per their own privacy policies.

5.4 GDPR — Because engineering data is never transferred to our servers, we are not a Data Processor for that category of information under GDPR. We remain a Data Controller only for account-level data.

6. Acceptable Use and User Responsibilities

6.1 You agree not to:

• Copy, modify, distribute, or reverse engineer the Software
• Attempt to bypass, probe, or disable security features
• Use the Services to build a competing product
• Use automated tools (scrapers, bots) to extract or load-test the Services
• Upload harmful code
• Use the Services unlawfully or harmfully

6.2 Professional Responsibility — The Suite does not replace certified engineering judgement. You remain fully responsible for verifying calculations, validating designs, conducting safety reviews, and ensuring compliance with industry standards.

7. Intellectual Property

All content, modules, algorithms, UI, and materials are owned exclusively by M&Q Engineering Solutions. You receive a non-exclusive, non-transferable licence to use the Services as intended. No rights are transferred except those explicitly granted.

8. Service Availability

8.1 Uptime — We aim for 99.9% uptime but do not guarantee uninterrupted service.

8.2 Maintenance — We may perform scheduled or emergency maintenance at any time.

8.3 Third-Party Risks — We are not responsible for outages caused by Stripe, Cloudflare, GitHub, or Resend.

9. No Engineering Warranty

The Services are provided "as is" and "as available" without warranties of accuracy, completeness, fitness for a particular engineering purpose, or non-infringement. You must independently verify all calculations before use in manufacturing, quality processes, safety-critical systems, design work, or production decisions.

10. Limitation of Liability

To the fullest extent permitted by law, we are not liable for loss of profits, production downtime, quality defects or scrap, business interruption, data loss, or engineering errors resulting from tool usage. Our total liability for any claim is limited to the subscription fees you paid in the previous 12 months.

11. Termination

We may suspend or terminate your account if you violate these Terms, attempt to exploit or harm the Services, or fail to pay subscription fees. Upon termination, access ends immediately, no refunds are granted, and clauses covering IP, liability, and governing law continue to apply. You may delete your account at any time.

12. Changes to These Terms

We may revise these Terms at any time. We will notify you of major changes via email or website notice. Continued use of the Services after changes means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be handled exclusively in the courts of England and Wales.
